VIPGlory ventured into assembly services in 1998 in Southern China. With our dedicated and highly experienced management staff, aggressive yet meticulous work ethics, we expanded systematically and moved to the Suzhou facility in 2022. The Suzhou facility and output has quadrupled that of Shenzhen (with extra capacity as a provision for further increase in output). We focus on medical, digital and high-end consumer electronics, industrial control/automation and electric vehicle peripherals assembly services. Hoiho-Elmatec has been a strategically allied partner with VIPGlory since some years ago. Hoiho-Elmatec also supplies our PCB products.

As a start, VIPGlory mainly focuses on serving domestic customers like most EMS companies do. Technical expertise, dedicated management team, low-cost environment had enabled VIPGlory winning substantial good appraisals and referrals therefore. Hoiho-Elmatec, being a veteran in PCB manufacturing and having more than 30 years of exposure and encounters in overseas markets, has created a synergy with VIPGlory when allied together. Since then, VIPGlory starts serving export customers and all internationally recognized manufacturing and QA standards are exercised and applied.

VIPGlory and Hoiho-Elmatec, possessing an identical ideology and corporate philosophy. Now that we joined strategically as partners as to provide a total solution to customers. These include PCB design, PCB layout, PCB fabrication, IC sourcing, component advisory, PCB assembly, box-build and testing services. Hoiho-Elmatec is also the sales and shipping arm of the joint venture.

The Company is named after this extra-ordinary bird, which travels up to 15 km on its daily journeys to the feeding grounds in order to secure survival of its species. 01.Confidential Information

shall mean information (in any form or media) provided by Customer to Hoiho regarding end customers, prospective customers, methods of operation, engineering methods and processes, programs and databases, patents and designs, vendors and suppliers, prices, business methods and procedures, finances, management, or any other business or technical information relating to Customer that: (a) if disclosed in tangible form, is marked “confidential”; or (b) if disclosed orally or otherwise in non-documented form, is identified as confidential at the time of initial disclosure and designated as confidential in a writing provided to Hoiho within thirty (30) days of disclosure. Confidential Information does not include information that: (i) was known to Hoiho prior to receipt from Customer; (ii) is or becomes part of the public domain through no breach of this Policy; (iii) is received from a third party not known to Hoiho to be in breach of any obligation of confidentiality; or (iv) is independently developed by Hoiho without reference to other Party’s Confidential Information. All information concerning pricing, price Policys and/or prices paid is deemed Confidential Information, whether or not marked or summarized after oral disclosure.

02.Purpose and Restriction

Customer may disclose, and Hoiho shall protect, maintain and make use of, the Confidential Information for the purpose of evaluating a potential and/or ongoing business relationship, related to quote activities, services and/or the procurement of products (the “Purpose”). Hoiho shall restrict disclosure of the Confidential Information to only its employees or affiliates that have a need to know such Confidential Information in order to fulfill the Purpose and are bound by obligations of confidentiality and restrictions on use and disclosure that are substantially similar to the terms of this Policy. Hoiho shall not reverse engineer, decompile or examine any information provided under this Policy.

03.Term

This Policy is automatic effective a period of three (3) years. Customer can request Hoiho to dispose his confidential information at written anytime.

04.Confidentiality Period

Hoiho’ s duty to protect the Confidential Information and to restrict its use to the Purpose shall expire three (3) years from the date of receipt of Confidential Information.

05.Standard of Care

Hoiho shall protect the Confidential Information by using the same degree of care as Hoiho uses to protect its own Confidential Information of a like nature, but no less than a reasonable degree of care, to prevent the unauthorized use, disclosure, dissemination or publication of the Confidential Information.

06.Compelled Disclosure

Hoiho may make the limited disclosures specified in this Section 6 with respect to Confidential Information that must be disclosed under operation of law or regulation or a court order; provided, however, that Hoiho shall notify Customer prior to disclosing Confidential Information to any third party, so that Customer may intervene to protect its Confidential Information. Confidential Information may only be disclosed to the extent required under the law, regulation or court order, and such disclosure shall not affect the obligations of confidentiality under this Policy relating to the remaining Confidential Information.

07.Warranty

Customer warrants only that it has the right to make the disclosures under this Policy. No other warranties, express or implied, statutory or otherwise, including warranties of merchantability, title, fitness for purpose or use, or against infringement, are made by either Party under this Policy. Any information disclosed under this Policy is provided “as is”.

08.Ownership

All Confidential Information disclosed under this Policy shall remain the property of customer. Nothing in this Policy shall be construed as granting to Hoiho any right or license in any of the Confidential Information except as expressly provided by this Policy.

09.Return of Property

Hoiho shall return or certify as to the destruction of the Confidential Information and any copies thereof (except for automatically generated electronic back-up copies), within thirty (30) days of Discloser’s written request. Notwithstanding the foregoing, Hoiho may retain a single set of copies for archival purposes or in the event of a dispute between the Parties.

10.Remedies

Any material breach by Hoiho of this Policy may cause injury to Customer and the non-breaching Party shall be entitled to seek injunctive relief, without limiting the other remedies available to the Customer.

11.Disputes; Governing Law

The Parties shall first seek to settle through good faith negotiations any dispute, controversy or claim arising out of or relating to this Policy or the breach, termination or invalidity thereof (“Dispute”). The construction, interpretation and performance hereof and all Disputes concerning this Policy will be governed by the laws of Hong Kong, without regard to or application of its principles or laws regarding conflict of laws.
